Terms Governing the Use of the Share-ify Platform

These Terms of Service (“Terms”) govern your access to and use of the Share-ify website, platform, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Use of the Services

Share-ify provides a cloud-based platform for supply chain collaboration, compliance, quality, and data management. You agree to use the Services only for lawful business purposes and in accordance with these Terms.

You are responsible for ensuring that your use of the Services complies with applicable laws, regulations, and contractual obligations.

Accounts and Access

Access to the Services requires an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Organizations control user permissions and access levels. Share-ify is not responsible for actions taken by authorized users within your organization.

Customer Data

You retain ownership of all data, documents, and information submitted to the Services (“Customer Data”). By using the Services, you grant Share-ify a limited license to host, process, transmit, and display Customer Data solely for the purpose of providing and supporting the Services.

You represent that you have the rights and permissions necessary to submit and share Customer Data, including with authorized trading partners.

Data Sharing and Collaboration

The Services enable controlled sharing of information with authorized users and trading partners. Sharing settings and permissions are managed by your organization.

Share-ify is not responsible for how Customer Data is used or disclosed by authorized recipients once access has been granted.

Acceptable Use

You agree not to:

  • Use the Services for unlawful, fraudulent, or misleading purposes

  • Interfere with or disrupt the integrity or performance of the Services

  • Attempt to gain unauthorized access to systems or data

  • Upload content that infringes intellectual property or privacy rights

Share-ify may suspend or terminate access for violations of these Terms.

Subscriptions and Fees

Certain features of the Services may require a paid subscription. Subscription terms, fees, and payment obligations are governed by applicable order forms or agreements between Share-ify and your organization.

Failure to pay applicable fees may result in suspension or termination of access.

Intellectual Property

The Services, including software, content, trademarks, and logos, are owned by or licensed to Share-ify and are protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, or create derivative works of the Services.

Third-Party Services

The Services may integrate with or link to third-party systems or services. Share-ify does not control and is not responsible for third-party services, content, or practices.

Use of third-party services is subject to their respective terms.

Confidentiality

Each party agrees to protect the other party’s confidential information and to use it only for purposes related to the Services, unless disclosure is required by law.

Disclaimer of Warranties

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Share-ify disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Share-ify does not warrant that the Services will be uninterrupted or error-free.

Limitation of Liability

To the maximum extent permitted by law, Share-ify shall not be liable for indirect, incidental, consequential, or special damages, including loss of data, revenue, or business opportunities.

Share-ify’s total liability arising out of or related to the Services shall not exceed the amount paid by your organization for the Services during the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Share-ify from claims arising out of your use of the Services, violation of these Terms, or misuse of Customer Data.

Termination

Share-ify may suspend or terminate access to the Services for violation of these Terms or applicable agreements. Upon termination, access to the Services may be disabled in accordance with contractual obligations.

Changes to the Terms

Share-ify may update these Terms from time to time. Updated Terms will be posted on this page, and continued use of the Services constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles.
